1. Acceptance of Terms
Welcome to the Industrial Mech Parts website ("IMP" or "the Site"). By accessing, browsing, or using this Site and any of our services (including but not limited to mechanical parts inquiries, product ordering, and technical documentation downloads), you agree to comply with and be bound by these Terms of Service and all applicable laws and regulations. If you are acting on behalf of a company or legal entity, you represent and warrant that you have the authority to bind that entity. If you do not agree to these terms, you must not use this Site or our services.
Industrial Compliance Notice: Using this Site to purchase industrial components signifies your acknowledgment that the parts will be used for lawful purposes and in compliance with relevant export controls and industry safety standards.
2. Definitions and Scope
"IMP," "we," "us," or "our" refers to Industrial Mech Parts and its affiliated companies. "User," "you," or "your" refers to any individual or entity accessing the Site or services. "Products" include all mechanical parts listed on this Site, such as gears, bearings, drive shafts, hydraulic seals, industrial chains, and related components. These Terms govern all access to the Site and all orders placed via the Site, email, or telephone, unless otherwise explicitly agreed in writing by both parties.
3. Product Ordering and Technical Specifications
All product information (including drawings, CAD files, material grades, tolerances, load capacities, etc.) is provided by manufacturers or suppliers. While we strive for accuracy, technical specifications may be updated or improved without prior notice. You are responsible for confirming the latest specifications before placing an order.
IMP reserves the right to modify product specifications due to technical improvements, discontinuation, or supply chain changes without prior notice. For custom parts or bulk orders, the final technical agreement shall be governed by a signed Technical Confirmation Document between both parties. All orders are subject to IMP’s acceptance, and we reserve the right to reject or cancel any order for reasonable cause (e.g., stock shortages, specification inconsistencies).
4. Pricing and Payment Terms
Prices displayed on the Site are typically quoted in USD, EUR, or CNY depending on your IP region or selected preference. All prices exclude VAT, customs duties, and other applicable taxes and fees. IMP reserves the right to adjust prices at any time, but confirmed orders will be honored at the quoted price (except in cases of material pricing errors).
Accepted payment methods include bank wire transfer, corporate credit card, and approved credit accounts. Payment terms are as follows:

Standard orders: 100% prepayment required.

Qualified business customers: Net 30 days payment term (subject to a signed credit agreement).
Late payments will incur a late fee of 1.5% per month (or the maximum rate permitted by law).
5. Shipping, Delivery, and Customs
IMP partners with global logistics providers. Delivery terms are typically EXW (Ex Works), FCA, or DAP as specified in the order confirmation. Title to the products passes to the buyer upon full payment or as otherwise agreed, but IMP retains a security interest in the goods until payment is fully settled.
Risk of loss transfers according to Incoterms 2020. Estimated delivery dates are approximate only. Delays do not constitute a breach of contract or grounds for refund, except in cases of gross negligence.
All customs duties, VAT, and brokerage fees for international orders shall be borne by the buyer. If a shipment is returned due to the buyer's failure to accept delivery, the buyer shall be responsible for all return shipping costs, storage fees, and re-stocking charges.
6. Returns and Warranty Policy
Standard Product Returns: Unused, unopened standard products in original packaging may be returned within 14 days of delivery. A 25% restocking fee and all return shipping costs apply. Custom products, cut-to-length materials, or special alloys are non-returnable.
Limited Warranty: IMP warrants to the original purchaser that products shall be free from defects in material and workmanship for a period of 12 months from the date of delivery (the "Limited Warranty"). The sole remedy under this warranty is replacement of the defective product or repair of the defect. IMP shall not be liable for any indirect or consequential damages.
This warranty is void if the product has been misused, improperly installed, overloaded, exposed to corrosive environments, or modified without authorization. All warranty claims must be submitted with a valid purchase order number and supporting documentation (photos, test reports).
Important Exclusion: High-wear parts such as seals, friction discs, chains, and similar consumables are subject to normal wear and tear and are not covered by any warranty. Users are responsible for regular maintenance based on operating conditions.
THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7. Intellectual Property and Usage Restrictions
All content on this Site, including but not limited to text, graphics, logos, 3D models, catalogs, specifications sheets, software, source code, and designs, is the exclusive property of IMP or its licensors and is protected by international copyright, trademark, and other intellectual property laws.
Without IMP’s express written permission, you may not copy, modify, reverse engineer, distribute, or create derivative works of any content. You may temporarily download or print materials for personal or internal business reference only, provided such use is not competitive to IMP.
"Industrial Mech Parts" and associated logos are registered trademarks of IMP. Unauthorized use of any trademark or content is strictly prohibited. Any unauthorized crawling, scraping, or bulk data collection will result in immediate termination of access and may lead to legal liability.
8. Limitation of Liability and Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMP AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PRODUCTION INTERRUPTION, EQUIPMENT DAMAGE, DATA LOSS, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IMP’S TOTAL AGGREGATE LIABILITY FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM OR $500 USD, WHICHEVER IS LOWER.
ALL PRODUCTS AND TECHNICAL DATA ARE PROVIDED "AS IS." IMP MAKES NO REPRESENTATION OR WARRANTY AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED ON THE SITE.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
9. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Any claim, suit, or proceeding arising from these Terms or an order shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 60 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, to be held in Chicago, Illinois. Judgment on the arbitration award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, IMP may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
For services provided to customers in the EU or China, mandatory consumer protection laws may apply but only to the extent of basic rights under such laws.
10. Changes to Terms
IMP may revise these Terms of Service from time to time. The revised version will be posted on this page with an updated "Last Updated" date. For material changes, we will provide notice via a site banner or email to registered users.
Your continued use of the Site after any changes become effective constitutes your acceptance of the modified terms. If you do not agree to the revised terms, you must stop using the Site and close any account you may have. Previous versions of these Terms will be archived and available upon request for at least one year.
